Terms of Service

Terms are subject to change at any time. By purchasing any artwork from me, you automatically agree to the following terms:ENGAGEMENTI am to be provided with clear and complete requirements and expectations upfront, including reference materials or assets, before I begin.You, along with other involved parties, give me non-exclusive rights to observe and replicate your/their own character design, reference material, and other intellectual property for the use of the given project.You and other involved parties warrant that the character design, reference material and other intellectual property provided to me are legally obtained and authorized for use. I will not copy or heavily reference unauthorized materials.You and other involved parties warrant that you/they have the authority to enter this agreement, to be the point of contact, and that you/they are solely responsible for decisions and approval during the process.I will perform to the best of my ability in good faith and warrant all work done by me is 100% original according to my best knowledge.I may use commercially licensed, copyright-free, and/or educational materials, assets and/or tools throughout the process and/or in the finished work.I reserve the right to refuse projects or requests based on content, subject, or other reasons.I define the scope of work, features, price, deliverables and other details for the proposed project in a format according to my discretion which may include private messages, emails, and/or commission forms. The details set forth by me shall be agreed upon by the you and other involved parties before work begins.CONTENT RESTRICTIONSI will not create work that includes the following, but is not limited to:Pornography
Suggestive content of minors, childlike characters, or animals
Pornographic content of minors, childlike characters, or animals
Fetishes
Cultural appropriation
Racism
Homophobia
Transphobia
Pedophilia
Incest
Real people (not including characters depicted by real people)
Emulation of another individual artist's style
Pro-imperialism

Pro-generative AITIMELINEAs I am currently both in school and working freelance, commissions may take some time. Please plan ahead should you need something completed by a specific date.Should your commission be approved, I will send you one or more thumbnail sketches. After one or more of them are given approval, I will move on to finishing the work. This does not include sketch commissions, in which you will be sent the finished work without prior thumbnail(s). Either way, you may at any time contact me during the process to request a preview of what is being worked on.When a work is finished, I will send you and any involved clients the high-resolution file(s). For the purpose of saving space, I will only host images shared via my own drives or file-hosting accounts for six months from the date of upload before deleting them. Please remember to save them!I will always propose a given amount of time for myself to finish a piece of work should I not be provided or proposed with an amount of time beforehand. I cannot guarantee work will be completed within the agreed upon time frame, and will do my best to keep everyone involved updated should that be the case.REVISIONSYou cannot change what you have requested once thumbnail(s) have been approved of (or in the case of sketch commissions, once the commission has been finished). This includes things such as, but not limited to: pose changes, scene changes, and character design changes.After thumbnail approval and onward, only three minor revisions are allowed free of charge. Further minor revisions will require additional charges, as will any major revisions. For sketch commissions, these rules can be applied to the first version of the work sent in.Once any form of work is considered complete by everyone involved, no further revisions will be made. You and all other clients may not edit the finished work in any way unless it has been agreed upon beforehand.PAYMENTS AND FEESPayments are to be in USD and sent via the agreed upon format: PayPal, Ko-fi, Venmo, or check.Half of the agreed upon payment is due upfront and the rest of it is to be sent post approval of thumbnail(s). This does not include sketch commissions, in which the full amount of the agreed upon payment is due upfront.I will only offer full refunds for work in which I have not at all begun the process. Should you cancel your commission after I have begun working on it, I will only refund between three-fourths and half of it dependent on how far along I am in the process and should the full payment already have been sent. Requests for refunds after I have finished a work will not be accepted.COMMUNICATIONOngoing communication and discussion is necessary and will occur throughout the process, including work in progress, idea generation, collaboration, situational updates, and more.My response time may vary, but I will always attempt to keep in contact and to reply as soon as possible. Should something happen where I myself am incapable of responding, I will have a trusted party contact you on my behalf.Should you fail to respond to my own attempts at communication, it is not up to me to refund any sent payment or assume it best to proceed with work.Should your commission be accepted, this means both you and I agree to discuss relevant matters concerning the project. I have the right to decline other topics of discussion, as do you.RIGHTS AND USAGEBy default, I retain copyright, ownership, redistribution and intellectual property rights to the commissioned work. This does not include works in which some or all of these rights are transferred to you and/or other involved parties under express agreement or project specifications.I may use rejected works such as (but not limited to) thumbnails, environment designs, and character designs for other projects according to their discretion, under the condition that it does not infringe upon your and/or involved parties' intellectual property rights and ownership, branding, identity design or any such trademarks.I retain the non-exclusive rights to sell merchandise and prints of work I have made, unless exclusive commercial rights are purchased by you and/or involved parties.Client Rights for Personal Use
Licensed WorksYou and other involved parties will receive non-transferable usage rights to the work for personal use.Personal use means: display on social media accounts for promotional purposes with no direct monetization or sales, such as social media profile pictures, banners, and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels; or any other instances where no monetization of, or of content featuring the work is involved.You and other involved parties will not claim the work as your/their own and must credit me using my social tag, my username, and/or link(s) to my page(s) at the instance of display of the work or permanently on their websites, social media profiles, broadcast channels and so on where possible.Client Rights for Commercial Use
Licensed WorksCommercial usage rights are not included in general commissions, unless specified in the commission type or project specifications listed on my website(s), or is purchased by the you and/or other involved parties and agreed upon.Commercial rights may differ for each commission type. Commercial broadcast rights means usage of work on streams, videos, advertisements and other content, or any similar monetized instances; commercial distribution rights means selling or reselling work to another party, as a part of any product or merchandising, or on another platform.In the case of original design work and assets for the purpose and definition of your and/or other involved parties' brand identities such as character design, environment design, and more, intellectual property rights of the designs and their likeness are exclusively transferred to you and other involved parties for use, production and modification purposes, commercial or personal.Usage of Work for AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.Additional charges will be required for commercial usage if not included in the project type, listing, or specifications, typically 2x the original cost.CONFIDENTIALITYBoth I and you, along with other involved parties, acknowledge that information and materials that are provided to involved parties (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside of the development of work, that will not be visible to the public, shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.INDEMNIFICATIONOnce a commission is agreed upon I am indemnified against claims, losses, damages, and expenses related to work usage by you and involved parties, breach by you and involved parties of the Agreement, or third-party claims.If your and/or the involved parties rights and the terms of this agreement are violated or the work is not delivered as agreed, due to my negligence, I will work to remedy the situation first according to the terms aforementioned and otherwise to the satisfaction of you and/or the involved parties.ACCEPTANCEYou and other involved parties are 18+ and legally able to commit to an agreement or have a legal guardian to make this agreement on your/their behalf.Agreement date is upon first inquiry/communication or first transaction.Note: Businesses, agencies, groups and other organizations should contact me to discuss arrangements in more detail._{The above Terms of Service agreement was taken and modified from a public template written by @keyokku on Twitter and Twitch.}
